Your Vote Matters

If you owned Decarbonization Plus Acquisition Corporation IV (NASDAQ: DCRD) (“DCRD”) ordinary shares as of the close of business on December 14, 2022, we encourage you to vote as soon as possible in favor of the business combination with Hammerhead Resources Inc. and all of the proposals described in DCRD’s definitive proxy statement. The Extraordinary General Meeting to approve the business combination will be held at 10:00 a.m., Eastern Time, on January 23, 2023.

How to Vote

Your vote matters. Decarbonization Plus Acquisition Corporation IV (“DCRD”) encourages all shareholders to vote today in favor of the business combination with Hammerhead Resources Inc. (“Hammerhead”) and all of the proposals described in DCRD’s definitive proxy statement. DCRD urges you to read carefully and consider the information contained in its definitive proxy statement before voting.

Voting is simple. There are three ways to vote:

1. Vote Online (Highly recommended): Follow the instructions on the Voting Instruction Form provided by the broker, bank or nominee through which you hold shares. To vote online, access the designated voting website by entering your voting control number, which you can find on the Voting Instruction Form provided by your broker, bank, or nominee. Once you access the website, simply follow the instructions provided. Internet votes must be received by DCRD by 11:59 p.m., Eastern Time, on January 22, 2023. However, your broker, bank or nominee may have an earlier deadline to receive your vote.

 2. Vote at the Meeting: If you plan to attend the Extraordinary General Meeting, you will need your voting control number to vote electronically at the Extraordinary General Meeting. You can find your control number and the address for the Extraordinary General Meeting on the Voting Instruction Form provided by your broker, bank or nominee.

 3. Vote by Mail: FFollow the instructions provided by your broker, bank or nominee on the Voting Instruction Form mailed (or e-mailed) to you. To send in your vote via mail, you will need your voting control number, which you can find on the Voting Instruction Form provided by your broker, bank or nominee. Mail votes must be received by DCRD prior to the Extraordinary General Meeting at 10:00 a.m., Eastern Time, on January 23, 2023.  

*If Voting by Mail, to ensure your vote is handled properly, be sure to:

  • Mark, sign and date your Voting Instruction Form; 
  • Return your Voting Instruction Form in the envelope provided or through any other means described in your Voting Instruction Form; and
  • Mail as soon as possible so that your vote arrives before January 23, 2023.

When and where is the Extraordinary General Meeting?

The Extraordinary General Meeting will be held on January 23, 2023, at 10:00 a.m., Eastern Time at the offices of Vinson & Elkins L.L.P. located at 1114 Avenue of the Americas, 32nd Floor, New York, NY 10036 and virtually via live webcast at https://www.cstproxy.com/decarbonizationplusacquisitioniv/2023 where you will be able to listen to the meeting live and vote during the meeting. All DCRD shareholders as of the record date, or their duly appointed proxies, may attend the Extraordinary General Meeting, which will be held both in person and virtually. DCRD shareholders may attend the Extraordinary General Meeting online, including to vote and submit questions, at https://www.cstproxy.com/decarbonizationplusacquisitioniv/2023. To attend online and participate in the Extraordinary General Meeting, DCRD shareholders will need to visit https://www.cstproxy.com/decarbonizationplusacquisitioniv/2023 and enter the control number provided on your Voting Instruction Form, regardless of whether you pre-registered.

How do I vote my shares?

Your broker, bank or nominee should provide you with a Voting Instruction Form by mail or email so that you can provide them with instruction on how to vote your shares ahead of the Extraordinary General Meeting. If you do not receive a Voting Instruction Form or have any questions about this form, you should contact your broker, bank or nominee to ensure that votes related to the shares you beneficially own are properly counted. If you plan to attend and vote at the Extraordinary General Meeting, then you will need to obtain a proxy from your broker, bank or nominee.

Can I still vote if I no longer own my shares?

Yes, if you owned DCRD ordinary shares as of the close of business on December 14, 2022, the record date for the Extraordinary General Meeting, but no longer own them, you can still vote your shares, unless the transferee obtained a proxy from you to vote those shares. However, you will not receive New SPAC Class A common shares in exchange for DCRD Class A ordinary shares upon consummation of the business combination, because you will not own DCRD Class A ordinary shares upon consummation of the business combination; accordingly, you are not entitled to redemption rights. If you did not own DCRD ordinary shares as of the close of business on the record date, you have no right to vote those shares at the Extraordinary General Meeting and are not entitled to redemption rights.

Where can I find my control number?

Your voting control number is the number provided on the Voting Instruction Form that was mailed (or e-mailed) to you with your proxy materials. If you cannot locate your control number, you will need to contact your broker, bank or nominee to obtain your control number.

When do I need to vote by?

We encourage you to vote as soon as possible. Internet votes must be received by DCRD before 11:59 p.m., Eastern Time, on January 22, 2023. If you vote by mail, we suggest you mail your signed Voting Instruction Form by January 13, 2023 to account for shipping time. Mailed votes received by DCRD after the start of the Extraordinary General Meeting will not be counted.
